Job description: Position SummaryThe candidate will join the Legal Team as Contracts Manager working on all types of transactions including leases, acquisitions, novations, lease returns, redeployments and sales. Based in either Miami or Dublin, the Contracts Manager will benefit from the support and experience of the Legal Team, members of Carlyle Aviation Partners senior management in Miami and Dublin, as well as external industry professionals.Responsibilities

  • Work as part of the Legal Team in connection with all transactions including leases, acquisitions, novations, lease returns, redeployments and sales
  • Participate in the deal team process and co-ordinate the negotiation and resolution of any documentary, funding and other closing matters
  • Work directly with both in-house attorney and outside counsel on all documentary aspects of transactions, including on the preparation of data rooms for sales transactions
  • Become a key contact for deal counterparties, law firms, and airlines on transaction closing matters for aircraft acquisitions, lease and sale transactions
  • Support initiatives to accelerate the pace of transactions, including by keeping track of the time required for each step of a transaction and by reminding deal team of deadlines
  • Prepare and maintain closing checklists to monitor and collect the conditions precedent and conditions subsequent for transactions for each transaction
  • Ensure pre-delivery events and closing activities are tracked accurately and efficiently on the company systems and executed on time
  • Input of transaction and lease details into Company’s internal Enterprise Management System
  • Manage exchange and review of closing deliverables with sellers, purchasers, lenders and lessees
  • Collect, manage and file original transaction documents in appropriate location
  • Assist in closing transactions by preparing corporate approvals and arranging for the execution of the signature pages
  • Ensure that complete and accurate closing sets for each transaction are filed in the appropriate electronic folders under the correct naming conventions
  • Support special projects as designated by the Chief Legal Officer and Senior Vice President, Contracts
  • Act as point of communication between departments
  • Provide periodic status reports on contracts and transactions to the Legal Team and other departments, and update the wider Company on the execution and closing of all material transactions
  • Respond to requests from customers and lenders on matters of lease and loan administration
  • Assist with process improvements, cost savings initiatives, team training and mentoring of junior team members

QualificationsEducation & Certificates

  • Legal, technical or business degree and masters preferable

Professional Experience

  • Minimum of 4 years’ experience in aviation financing, ideally in a Contracts Manager or similar type role

Competencies & Attributes

  • Proven project management skills with an ability to delegate, prioritise and resolve issues
  • Fluent in English, additional languages a plus
  • Excellent written and verbal communication skills
  • Numerate, diligent, thorough and with a keen attention to detail
  • Ability to identify critical issues
  • Ability to work under and manage pressure
  • Enjoy working in a fast-paced, dynamic team environment
  • Excellent PC skills (Microsoft Excel, Outlook, Word, Powerpoint)
  • Knowledge of Leaseworks or a similar system advantageous
  • Flexibility and willingness to travel, if necessary
